SUPPORT LOCATION AGREEMENT
This Agreement is made between
PRODUCER (“Producer”), and
Miranda CCs Limited (“Owner”)
dated Wednesday, 3 January 2024
In consideration of the payment to Owner of £330 Owner hereby grants to Producer, and its successors and assigns, the right to enter upon and use the property located at Miranda Café, 28 Broadway Parade, London N8 9DB (“Property”) in connection with Producer’s filming activities. Such use(s) shall include: Use of Premises for Filming.
The Property shall be used on the following date(s) 05/01/2024 (08:30-10:30)
Use of the Property shall also include the right (but not the obligation) to photograph any displays and/or signs located on the Property, and Owner’s name, logo, trademark, service mark, and/or slogan (as and if applicable).
All rights of every kind in and to all photography and sound recordings made hereunder (including, but not limited to, the irrevocable right to exhibit any and all scenes photographed or recorded at and of the Property or reproduction of the Property and advertising, publicising, exhibiting and exploiting the same or any related subsidiary or ancillary rights (including the promotion, marketing and advertising of the Series (including promoting its availability on products and/or services capable of exhibiting the Series) and the right to use in merchandise, and/or services, the right to use in sound recordings, commercial/promotional tie-ins and partnership marketing campaigns, and the use of “behind-the-scenes” or “bonus” or other material relating to the Series), by any manner or means (whether now known or hereafter devised) in any manner whatsoever in any and all media, devices, processes and technology whether now known or hereafter devised throughout the universe in perpetuity) shall be and remain solely and exclusively owned by and vested in Producer, its successors, assigns and licensees. Neither Owner nor any tenant, or other party now or hereafter having an interest in the Property, shall have any right of action against Producer or any other party arising out of any use of the photography and/or sound recordings made at the Property whether or not such use is, or may be claimed to be defamatory, untrue, or censurable in nature and Owner, for himself and any tenants and assignees, hereby waives any and all rights of privacy, publicity, or any other rights of a similar nature in connection with the exploitation of any such photography or sound recordings.
Producer agrees to use reasonable care to prevent damage to the Property and to leave the Property in as good order and condition as when received by Producer (reasonable wear and tear excepted) and to remove any and all equipment after completion of its use thereof. After Producer has completed its work at the Property, Producer shall be deemed to have fully and properly vacated the Property and shall be relieved of any and all obligations in connection therewith unless Owner, within three (3) business days after Producer leaving the Property, provides Producer with a detailed list of all property damage for which Owner claims Producer is responsible in which event, Owner shall permit Producer’s representatives to inspect such damage. If Producer acknowledges responsibility for such damage, Producer shall be given the opportunity to either correct the damage or make restitution in a timely manner.
Producer agrees to indemnify and hold Owner harmless from any third party claims for damage or injury arising during and in connection with Producer’s use of the Property and caused by Producer’s negligence or willful misconduct. Owner agrees to indemnify and hold harmless Producer, its parent(s), subsidiaries, assignees, licensees, successors, related and affiliated companies and its and each of their officers, directors, employees, agents, representatives and assigns from any third party claims for damage or injury arising during and in connection with Producer’s occupancy of the Property and caused by Owner’s breach, negligence or wilful misconduct.
Owner shall keep confidential and shall not, at any time, disclose or otherwise disseminate to the public or to any third party (other than to Owner’s professional advisers) without Producer’s prior written consent any information, photographs, advertising or publicity or any other matter concerning and/or relating directly or indirectly to the Series (including but not limited to the premise and concept of the Series), the terms of this Agreement, or the Producer’s affairs generally, whether to a single or multiple recipient(s) or onto the internet or by means of other technologies, including, without limitation, all social media and social networking websites such as Twitter and Facebook, blogs, multimedia messaging (e.g., SMS, MMS, email and other technologies), and the like. Owner shall not take any unauthorised photographs, audio or video recordings nor give to any third party any information, photographs or other items or material coming into Owner’s possession or control by reason of Owner’s engagement and Producer’s use of the Property. Notwithstanding this, Owner shall comply with any customary policies with regard to confidentiality in relation to the Series as provided to Owner by Producer in writing.

The parties agree for the purposes of applicable data protection law that each party is the controller of all personal data supplied by the other under this Agreement. Each party agrees to comply with its obligations as a controller under applicable data protection law and to assist and co-operate with the other, to the extent reasonably necessary, as part of such compliance.
The undersigned hereby warrants that the undersigned has the right and authority to make and enter into this Agreement and to grant Producer the rights herein contained. Owner may not terminate or rescind the permission granted to Producer to use the Property. In the event of any claim by Owner against Producer, whether or not material, Owner shall be limited to Owner’s remedy at law for damages, if any, and Owner shall not be entitled to enjoin, restrain or interfere with use of the Property as provided in this Agreement or with the production, advertising, publicising, exhibiting or exploitation of all or any part of the Series or any of Producer’s rights pursuant to this Agreement.
This Agreement shall be construed in accordance with and governed by the laws of England and Wales and the parties irrevocably submit to the non-exclusive jurisdiction of the English Courts. Owner acknowledges that it has not entered into this Agreement in reliance upon any representation (written or oral, express or implied) of Producer not contained herein. Owner agrees that Producer may assign this Agreement and its rights hereunder to any third party. This Agreement shall inure to the benefit of and be binding upon the parties’ respective successors, licensees and assignees. Except insofar as this Agreement expressly provides otherwise, a person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of this Agreement but this does not affect any right or remedy of a third party which exists or is available apart from that Act. Owner shall execute or cause to be executed all such other documents and do or cause to be done all such further acts as Producer may from time to time reasonably require for the purpose of giving Producer the full benefit of the provisions of this Agreement. This Agreement is the entire agreement of the parties and shall replace and supersede all prior arrangements, either oral or written, as to the subject matter hereof. This Agreement cannot be modified or cancelled except by written instrument signed by both parties.
